Terms of Service

Last updated 2026-11-06

These Terms of Service govern your access to and use of UQ Planner, a work planner for teams available at planner.uniqtech.dev (the “Service”). The Service is operated by Unique Technology Software Company Limited, a company registered at Street No. 37, Binh Phu Ward, Ho Chi Minh City, Vietnam (tax code (MST): 0317015799) and trading as UniqTech (“we”, “us”). By creating an account or using the Service you agree to these terms. Please also read our Privacy Policy and Refund & Cancellation Policy.

1. Eligibility & accounts

You must be at least 16 years old (or the age of digital consent in your country) to use the Service. If you use it on behalf of a company, you confirm you may accept these terms for that company.

Give us accurate details, keep your password and any API keys or SSH keys private, and tell us promptly if you think your account has been misused. You are responsible for what happens under your account, including actions taken by scripts or AI agents using an API key you created.

Work in the Service belongs to an organisation. Its owners and admins decide who is invited, what role each member has, and whether the organisation buys a paid plan. Removing a member removes their access to that organisation's content.

You can stop using the Service at any time and ask us to delete your account by emailing business@uniqtech.dev. We may suspend or close accounts that seriously or repeatedly break these terms.

2. Plans, seats & billing

The Free plan includes every feature, for up to the number of people per organisation shown on the pricing page (members plus pending invitations). There is no free trial of Pro and no card is needed for Free. Pro is bought per organisation and priced per seat (one seat per member). It adds room for more people, a Pro badge and priority support; we will not take features away from Free and put them behind Pro without notice. Prices are shown on the pricing page before you pay.

  • Paying in VND (payOS): payments in Vietnamese đồng are made through payOS by bank transfer or VietQR and are sold directly by Unique Technology Software Company Limited. Each payment buys a one-time pass for the chosen number of seats for 30 or 365 days. Passes are charged once and do not renew automatically; buying another pass adds its days to the end of the current one. Coupons apply to VND passes only, to one order each, and have no cash value. Paddle is not a party to these purchases.
  • Paying in USD (Paddle): card payments in US dollars are processed by Paddle.com, which acts as our Merchant of Record and reseller: Paddle sells the subscription to you, issues the invoice and handles sales tax, and Paddle's buyer terms also apply. USD plans are billed monthly (minimum 3 seats) or yearly and renew automatically each period until cancelled. Cancelling keeps Pro until the end of the period you have paid for.

Owners or admins choose the number of seats. If an organisation has more members than paid seats we will remind you, but we will not lock anyone out. Price changes apply from your next pass or renewal, never to a period already paid. We never receive or store your card or bank log-in details.

3. Refunds & cancellation

You may request a refund within 14 days of the date of your payment. Refunds are issued in full — USD payments through Paddle to the original payment method, VND passes by bank transfer from us to the paying account. A Paddle subscription can be cancelled at any time from your organisation settings; a VND pass never renews, so there is nothing to cancel. Cancellation and refunds are described in full in our Refund & Cancellation Policy, which forms part of these terms and matches Paddle's Refund Policy.

4. Acceptable use

Please do not use the Service to:

  • break the law, or store or share content you have no right to share;
  • upload malware, or try to access accounts, organisations or systems that are not yours;
  • probe, scan or overload the Service, or get around its rate limits or security checks;
  • send spam, including mass or unwanted invitations;
  • share an account to get around seat limits;
  • resell or rebrand the Service without our written agreement.

We may remove content or suspend access that breaks these rules, and will tell you why where we reasonably can.

5. Intellectual property & your content

You keep ownership of everything you put into the Service — tasks, comments, files, documentation and Git repositories. You give us permission to host, copy, process and display it only as needed to run the Service for you and to keep it secure. We do not sell your content. Organisation owners can export their documentation at any time by cloning its Git repository.

The Service itself — its software, design, branding and documentation — is owned by Unique Technology Software Company Limited or its licensors. Using the Service does not transfer any of it to you; we grant you a limited, non-exclusive, non-transferable licence to use it for your organisation's work.

The uqplanner CLI runs on your own machine. What an AI agent does with it — the code it writes, the evidence it attaches — is your responsibility to review.

6. Disclaimers & limitation of liability

We work to keep the Service running and your data safe, but it is provided “as is”: we do not promise it will always be available or free of errors, and we do not offer a service-level agreement on the Free or Pro plans.

To the extent the law allows, we are not liable for indirect or consequential losses such as lost profits or data, and our total liability for any claim is limited to the amount your organisation paid us in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.

7. Changes to the Service or these terms

We improve the Service continually and may change or retire features; for changes that significantly reduce what you can do we will give reasonable notice. We may update these terms: material changes are posted on this page with a new “Last updated” date and, where significant, told to account owners by email or in the app before they take effect. Continued use after a change takes effect means you accept it. Changes to prices never affect a period already paid.

8. Governing law

These terms are governed by the laws of Vietnam, without regard to conflict-of-law principles. Disputes go to the competent courts of Ho Chi Minh City, unless the law where you live gives you a right to bring them elsewhere.
